Pursuant to paragraph 29 section 3 of the Warsaw Stock Exchange Rules, Polenergia Spółka Akcyjna (‘Company’) hereby submits a report on its non-compliance with some detailed principles of the “Best Practice for GPW Listed Companies 2016,” the Management Board and Supervisory Board.
II.Z.11. The supervisory board should review and issue opinions on matters to be decided in resolutions of the general meeting.
The principle was violated incidentally.
The Company’s comment on this incidental breach of the above rule:
The Management Board of Polenergia S.A. (‘Issuer’) in due time asked the Supervisory Board of the Issuer (‘Supervisory Board’) for the opinion on draft resolutions and other materials to be the subject of the General Meeting convened to be held on 13th July 2018 (‘General Meeting’). The Supervisory Board did not issue an opinion in the above matter before the General Meeting was held.
