The Management Board of Polenergia S.A. with its registered office in Warsaw (“Issuer”), in reference to current report No. 55/2021 of 31 December 2021 reports that on 3 January 2022, a transfer of title to all shares of Edison Energia S.A. With its registered office in Warsaw, Poland (“Company”) took place, in line with the provisions of the Preliminary Share Sale Agreement as amended and the Final Share Sale Agreement pertaining to the sale to the Issuer of 100% of the Company’s shares by the current shareholders of the Company.
Legal basis: Art. 17(1) of Regulation of the European Parliament and Council (EU) No. 596/2014 on market abuse and repealing Directive 2003/6/EC of the European Parliament and Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (Journal of Laws of the European Union L of 2014, No. 173, p. 1).
