NOTIFICATIONS ON CHANGE IN HOLDINGS

Acting pursuant to Art. 70(1) of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies  (“Act on Public Offering”), the Management Board of Polenergia S.A. (“Company”) hereby reports that on 13 April 2022, the Company received: i) a notification of shareholder Mansa Investments Sp. z o.o. (“Mansa”) submitted pursuant to Art. 69(1) (2) and Art. 69(2)(1a) of the Public Offering Act and ii) a notification of shareholder BIF IV Europe Holdings Limited (“BIF”) submitted pursuant to Art. 69(1)(1) (1) and Art. 69(2) (1a) of the Public Offering Act on the acquisition of shares in the Company as a result of settlement of the public offering of shares in the Company and registration of shares in the Company on the securities’ accounts of Mansa and BIF, respectively.

In line with the notification, Mansa, after registering the Shares in the Company on the Mansa securities’ account, holds 28,617,254 ordinary bearer shares of the Company with a nominal value of PLN 2.00 each, authorising it jointly to 28,717,254 votes and representing 42.84% of the Company’s share capital and the total number of votes in the Company.

In line with the notification, BIF, after registering the Shares in the Company on the BIF securities’ account, holds 21,317,706 ordinary bearer shares of the Company with a nominal value of PLN 2.00 each, authorising it jointly to 21, 317,706 votes and representing 31.91% of the Company’s share capital and the total number of votes in the Company.
