NOTIFICATION ON RECEIPT OF SHAREHOLDERS’ DECLARATION

The Management Board of Polenergia S.A. with its registered office in Warsaw (“Issuer”) hereby reports that on 12 February 2021, the Issuer received a copy of the following declaration:

1. Aviva Otwarty Fundusz Emerytalny Aviva Santander represented by AVIVA Powszechne Towarzystwo Emerytalne AVIVA Santander S.A.

2. Generali Otwarty Fundusz Emerytalny represented by Generali Powszechne Towarzystwo Emerytalne S.A.

3. Nationale-Nederlanden Otwarty Fundusz Emerytalny represented by Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A. (hereinafter jointly the “Funds”), in line with which the Funds have indicated that the price suggested in the call announced on 6 November 2020 for sale of the Issuer’s share and subsequently amended by notifications of 8 December 2020, 17 December 2020 and 20 January 2021 (“Call”) does not reflect the fair value of the Issuer’s shares in the Funds’ opinion. In relation to the above, each of the Funds separately declared with respect to BIF IV Europe Holdings Limited and Mansa Investments Sp. z o.o. and became liable towards the other Funds for not selling the Issuer’s shares in the Call at the price of PLN 63.00 per share.
