NOTIFICATION ON EXCEEDING 20% OF THE TOTAL NUMBER OF VOTES

The Management Board of Polenergia S.A. (the “Company”) announces that on 25 February 2021, the Company received from the BIF IV Europe Holdings Limited with its registered office in London, United Kingdom (the „Investor”) a notification pursuant to: (i) Art. 69 section 1 point 1) Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies of 29 July 2005 (Polish Journal of Laws of 2019, item 623, as amended) (the “Act on Public Offering”), (ii) Art. 69 section 2 point 2) in connection with Art. 87 section 1 point 5) of the Act on Public Offering and (iii) Art. 77 section 7 of the Act on Public Offering. According to the notification sent, which is attached hereto, the Investor as a consequence of the settlement of the transaction of acquisition of the Company’s shares subscribed for in the tender offer for 100% of the Company’s shares, announced on 6 November 2020 and amended by the announcements made on 8 December 2020, 17 December 2020, 20 January 2021 and 5 February 2021, acquired 10,370,213 of the Company’s shares, which constitutes 22.82% of the Company’s share capital, carrying the right to 10,370,213 votes in the Company and constitutes 22.82% of the total number of votes. Simultaneously, the Investor informed in the notification that along with Mansa Investments sp. z o.o. with its registered office in Warsaw, with whom the Investor is bound by an acting in concert agreement referred to in Article 87 section 1 point 5) of the Public Offering Act, the parties to that agreement currently hold jointly 33,837,256 shares in the Company, representing 74.46% of the Company’s share capital, carrying the right to 33,837,256 votes in the Company, representing 74.46% of the total number of votes in the Company.
