The Management Board of Polenergia S.A. (the “Company”) (the “Issuer”) with reference to the current report No. 37/2024 of 11 July 2024, hereby informs that on [•] September 2024 the Issuer entered into a program agreement relating to the Company’s bond issue programme (in the green bond formula) (the “Bonds”) with the total maximum nominal amount of PLN 1,000,000,000 (the “Programme”) (the “Program Agreement”) with Bank Polska Kasa Opieki S.A. (“Bank Pekao”), mBank S.A. (“mBank”) and Santander Bank Polska S.A. (“Santander”) (Bank Pekao, mBank and Santander, hereinafter jointly referred to as the “Banks”).
Under the Program Agreement, the Banks have assumed an obligation to perform certain duties related to the organisation and operation of the Programme and the organisation and issuance of the Bonds to the extent specified in the Program Agreement.
Bank Pekao will act as co-organiser of the Programme, dealer and green bond structuring agent.
mBank will act as co-organiser of the Programme, dealer and green bond structuring agent.
Santander will act as co-organiser of the Programme and dealer.
The conclusion of the Programme Agreement was approved by the Company’s Supervisory Board.
