EXECUTION OF THE ADVISORY AGREEMENT BETWEEN POLENERGIA S.A. AND MASTER BIF IV UK HOLDINGS LIMITED

The Management Board of Polenergia S.A. (the “Issuer”) announces that on August 24, 2021, the Issuer executed an advisory, support and consultancy agreement with Master BIF IV UK Holdings Limited as advisor (the “Advisor”), which is an entity associated with one of the Issuer’s shareholders, i.e., BIF IV Europe Holdings Limited. The Issuer’s Supervisory Board granted its consent to appointing the Advisor in the resolution dated August 18, 2021.

The tasks of the Advisor, as an entity having experience in operating renewable power assets globally, will cover providing advice and recommendations supporting the work of the Operational Supervision Committee (the “Committee”) appointed in the Supervisory Board on August 18, 2021. The Committee’s tasks cover, among others, exercising operational supervision over the development, financial operations and investment opportunities of the Issuer’s group.

Legal basis: Art. 17.1 of Regulation (EU) no 596/2014 of the European Parliament and of the Council of April 16, 2014, on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
