EXECUTION OF CREDIT FACILITY AGREEMENT BY THE COMPANY’S SUBSIDIARY – ŁUKASZÓW WIND FARM CONSTRUCTION FINANCING

Polish Energy Partners Spółka Akcyjna (‘Company’) hereby informs that on 1st June 2010 Amon Spółka z ograniczoną odpowiedzialnością (‘Amon’) – the Company’s subsidiary, and the banking consortium consisting of (i) Raiffeisen Bank Polska S.A. (‘RBP’), (ii) Bank Zachodni WBK S.A. (‘BZ WBK’), (iii) Powszechna Kasa Oszczędności Bank Polski S.A. (‘PKO BP’) and (iv) Bank DnB NORD Polska S.A. (‘DNB’) (‘Banks’ altogether) executed credit facility agreements (‘Credit Agreement’), pursuant to which Amon would be granted credit facility in the total amount of PLN 223 493 000 (all the tranches). The credit interest rate is variable and different for each tranche. The interest rate is equal to WIBOR plus bank margins. The credit collateral is standard for the transaction of that type and includes in particular a pledge on Amon’s assets and shares, assignment of rights of the essential agreements as well as a temporary guarantee of the Company for Amon’s liabilities up to an amount of PLN 44 000 000.

Moreover, under the credit opening process, the Company extra guarantees towards the Banks up to the total amount of PLN 35 837 000 are provided for. The credit facility drawdown shall be contingent upon Amon fulfillment of the conditions that are standard for the transaction of that type, as stipulated in the Credit Agreement. Since the agreement value exceeds 10% of the Company’s equities, it was classified as a material one. The credit facility shall be allocated for financing of construction and start-up of Łukaszów Wind Farm.
