DISPOSAL OF THE COMPANY SHARES

Polish Energy Partners Spółka Akcyjna (‘Company’) hereby informs that on 22nd September 2011 the Company received a notification from Quercus Towarzystwo Funduszy Inwestycyjnych S.A., in accordance with which Quercus Parasolowy SFIO, Quercus Absolute Return FIZ and Quercus Absolutnego Zwrotu FIZ (‘Quercus Funds’) disposed of the Company shares as a result of which Quercus Funds hold a total of less than 5% of the share capital and of the total number of votes at the Company General Assembly. As at 21st September 2011, Quercus Funds hold a total of 1 022 541 shares of the Company, representing 4.80% of the Company share capital, and 1 022 541 votes at the Company General Assembly, i.e. 4.80% of the total number of votes. Before the said transaction of 21st September 2011, which resulted in Quercus Funds holding smaller than 5% share in the Company, Quercus Funds held a total of 1 080 541 shares of the Company, representing 5.07% of the Company share capital, and 1 080 541 votes at the Company General Assembly, i.e. 5.07% of the total number of votes.
