DISPOSAL OF THE COMPANY SHARES

Polish Energy Partners Spółka Akcyjna (‘Company’) hereby announces that the Company received the information, in accordance with which the person, as defined in Article 160 section 1 point 1) of the Act of 29th July 2005 on Trading in Financial Instruments, disposed of the Company shares on the Warsaw Stock Exchange in such a manner that:

1) on 31st March 2010 there were disposed of: (i) 3 009 shares at PLN 37.02 per share, (ii) 65 shares at PLN 37.01 per share, (iii) 1 876 shares at PLN 37.00 per share, (iv) 5 000 shares at PLN 37.00 per share, (v) 2 479 shares at PLN 37.00 per share, (vi) 200 shares at PLN 37.00 per share, (vii) 80 shares at PLN 37.00 per share, (viii) 150 shares at PLN 36.88 per share, (ix) 50 shares at PLN 36.80 per share, (x) 100 shares at PLN 36.80 per share, (xi) 27 shares at PLN 36.80 per share, (xii) 50 shares at PLN 36.80 per share, (xiii) 25 shares at PLN 36.99 per share, (xiv) 330 shares at PLN 36.90 per share, (xv) 88 shares at PLN 36.98 per share, (xvi) 163 shares at PLN 36.98 per share, (xvii) 53 shares at PLN 36.98 per share, (xviii) 40 shares at PLN 36.98 per share, (xix) 74 shares at PLN 36.98 per share, (xx) 5 991 shares at PLN 36.98 per share, (xxi) 800 shares at PLN 36.98 per share, (xxii) 50 shares at PLN 37.02 per share, (xxiii) 53 shares at PLN 36.98 per share, (xxiv) 60 shares at PLN 36.98 per share, (xxv) 1 606 shares at PLN 36.98 per share, (xxvi) 200 shares at PLN 36.98 per share, (xxvii) 86 shares at PLN 36.98 per share, and (xxviii) 6 shares at PLN 36.98 per share;

2) on 1st April 2010 there were disposed of: (i) 129 shares at PLN 36.90 per share, (ii) 15 shares at PLN 36.97 per share, (iii) 50 shares at PLN 36.97 per share, (iv) 35 000 shares at PLN 36.90 per share, (v) 4 750 shares at PLN 36.80 per share, (vi) 56 shares at PLN 36.80 per share, (vii) 156 shares at PLN 36.80 per share, (viii) 27 shares at PLN 36.90 per share, and (ix) 88 shares at PLN 36.80 per share;

3) on 6th April 2010 there were disposed of: (i) 146 shares at PLN 37.05 per share, (ii) 267 shares at PLN 37.00 per share, (ii) 1 000 shares at PLN 37.05 per share, (iii) 40 shares at PLN 37.00 per share, (iv) 13 355 shares at PLN 37.00 per share, (v) 100 shares at PLN 37.00 per share, (vi) 12 shares at PLN 37.00 per share, and (vii) 80 shares at PLN 37.10 per share.

The total number of the Company shares disposed as a result of the aforementioned transactions is 77 982.
