DECISION OF THE PRESIDENT OF OFFICE OF COMPETITION AND CONSUMER PROTECTION FOR CONCENTRATION BY ESTABLISHMENT OF JOINT VENTURE BY POLENERGIA S.A. AND MODUS ENERGY AB

The Management Board of the company operating under the business name of Polenergia S.A. (“Issuer”) in reference to current report No. 11/2022 of 21 March 2022 on signing an investment agreement between the Issuer and Modus Energy AB (“Modus”) (“Investment Agreement”) hereby reports that on 6 September 2022, it received information about issue by the President of the Office of Competition and Consumer Protection, by means of a decision, of consent for concentration consisting in establishment by the Issuer and Modus of a joint venture, as part of which the Issuer and Modus shall cooperate in relation to the planned development of projects of wind farms on the Baltic Sea in the area of the Lithuanian territorial sea or the exclusive economic zone of the Republic of Lithuania, within a scope indicated in the Investment Agreement.
