The Management Board of the company operating under the business name Polenergia S.A. (“Issuer”) hereby reports that the Issuer concluded, on 5 June 2023, with Santander Bank Polska S.A. and Bank Polska Kasa Opieki S.A. (“Lenders”), a renewable credit facility agreement up to the amount of PLN 300 million for a period of three years (with a possibility of extending to two subsequent years), “Credit Agreement”. The credit shall be intended for purposes compliant with the Polenergia Group Strategy for years 2020-2024.
The provisions of the agreement do not differ from commonly applied terms for agreements of this type. In relation to the Credit Agreement, the Issuer submitted – with respect to every Lender – a declaration on submission to enforcement and established registered and financial pledge on its bank accounts.
The Issuer will not update the information presented in this report, unless new confidential information has been identified within the meaning of Regulation of the European Parliament and Council (EU) No. 596/2014 on market abuse and repealing Directive 2003/6/EC of the European Parliament and Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (Journal of Laws of the European Union L of 2014, No. 173, p. 1 as amended, the “MAR”).
