CONCLUSION OF CONTRACTS FOR THE DELIVERY OF MODULES FOR THE SZPROTAWA I AND SZPROTAWA II PHOTOVOLTAIC FARM PROJECTS

The Management Board of Polenergia S.A. (the “Issuer“), with reference to report No. 64/2023 of 27 December 2023, hereby informs that, the Issuer’s subsidiaries – (i) Polenergia Farma Wiatrowa Namysłów Sp. z o. o., developing the Szprotawa I photovoltaic farm project with a total installed capacity of 47 MWp (“Project I“) and (ii) Polenergia Farma Fotowoltaiczna 16 Sp. z o.o., developing the Szprotawa II photovoltaic farm project with a total installed capacity of 20 MWp (“Project II“) entered into an agreement with Jinko Solar (Chuzhou) Co., Ltd. (the “Supplier“) for the supply of photovoltaic modules for the purposes of Project I and an agreement for the supplier of photovoltaic modules for the purposes of Project II (the “Agreements“) on 22^nd February 2024.

The agreements cover the sale of photovoltaic modules manufactured by the Supplier in the quantity required for the implementation of Project I and Project II. The terms and conditions of the Agreements do not differ from the standard market conditions for this type of contracts. Their provisions concern in particular: obligations of the parties, remuneration and settlement rules, liability, including its limitation, guarantee of removal of defects and faults in the delivered modules. The contracts do not cover the delivery of inverters. The contract will be completed by the end of October 2024.

The total value of the Agreements is approx. EUR 8 million.

The conclusion of the Agreements marks a significant milestone in the development of Project I and Project II.
