CHANGES TO THE COMPOSITION OF THE SUPERVISORY BOARD

The Management Board of the company under the name of Polenergia S.A. (“Issuer” or the “Company”) hereby announces that on September 26, 2024, the Company received a statement from prof. dr. hab. Krzysztof Obłój on his resignation from the Supervisory Board of the Issuer and from the position of a member of the Supervisory Board of the Issuer as of October 15, 2024. The resignation does not contain information on the reasons for its submission.
On the same day, i.e. September 26, 2024, the Company received a statement from Mansa Investments sp. z o.o. with its registered office in Warsaw, a shareholder of the Issuer, on the appointment, with effect from October 16, 2024 (beginning of the day), on the basis of the personal authorization provided for in art. 5.4.2. (a) (i) of the Issuer’s Articles of Association, to the Supervisory Board of the Issuer of dr. hab. prof. SGH Piotr Bartosz Ciżkowicz.
Dr. hab. prof. SGH Piotr Bartosz Ciżkowicz has submitted a declaration stating that: (i) outside the Issuer he conducts the following activities: (a) he serves as President of the Management Board in the following companies: Nunatak Capital sp. z o.o. and StatXplorer sp. z o.o., (b) he serves as Member of the Supervisory Board in the following companies: PFR Ventures, GenXone S.A., Livekid sp. z o.o., (c) he is a partner in PV1 sp. z o.o. in liquidation, (d) he is a professor at the Warsaw School of Economics (SGH), (e) he runs a sole proprietorship under the name Cizkowicz Consulting Piotr Ciżkowicz, (ii) he does not conduct any activities competitive to the Company; (iii) he is not a partner in a civil law partnership or partnership competitive to the Company, (iv) he is not a member of a body of a capital company competitive to the Issuer or a body of any other legal person competitive to the Issuer; and (v) he is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.
