CHANGES IN THE COMPOSITION OF THE SUPERVISORY BOARD AND THE MANAGEMENT BOARD

The Management Board of the company under the name of Polenergia S.A. (“Issuer” or “Company”) hereby informs that on October 18 and 19, 2024, it received information about the following changes in the composition of the Supervisory Board and Management Board:

1. resignation of Mr. Adam Purwin from the position of a Member of the Supervisory Board as of October 18, 2024 (end of the day);
2. appointment of Mr. Adam Purwin to the position of the Vice President of the Management Board for the current term of office as of October 19, 2024 (beginning of the day) by virtue of the resolution of the Supervisory Board of the Company adopted on October 18, 2024. The appointment expires on December 31, 2024, i.e. at the end of the current term of office of the Management Board. After this date, Mr. Adam Purwin will assume the position of the President of the Management Board of the Company, in accordance with the information provided by the Issuer in current report no. 46/2024 dated September 24, 2024;
3. appointment of Mr. Mikołaj Franzkowiak to the position of a Member of the Supervisory Board of the Company as of October 19, 2024 (beginning of the day) on the basis of a declaration by Mansa Investments sp. z o.o. with its registered office in Warsaw, submitted in exercise of the personal right provided for in Article 5.4.2. (a) (i) of the Issuer’s Articles of Association.

Mr. Adam Purwin has submitted a declaration stating that: (i) outside the Issuer he conducts the following activities: (a) he serves as a member of the Management Board of the VC Fund in Nunatak Capital sp. z o.o.; (b) he serves as a member of the Management Board of Statxplorer sp. z o.o.; (c) he serves as a liquidator in PV1 sp. z o.o. in liquidation; (d) he runs a sole proprietorship; (ii) he does not conduct any activities competitive to the Company; (iii) he is not a partner in a civil law partnership or a partnership competing with the Company and he is not a member of a governing body of a capital company competing with the Issuer or a governing body of any other legal person competing with the Issuer, except for serving as a liquidator in PV1 sp. z o.o. in liquidation; and (iv) he is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register (the “Register of Insolvent Debtors”).

Mr. Mikołaj Franzkowiak has submitted a declaration stating that: (i) outside the Issuer he runs a sole proprietorship under the name of Mikołaj Franzkowiak; (ii) he does not conduct any business activity competitive to the Company; (iii) he is not a partner in a civil law partnership or a partnership competing with the Company, (iv) he is not a member of a governing body of a capital company competing with the Issuer or a governing body of any other legal person competing with the Issuer; and (v) he is not entered in the Register of Insolvent Debtors. Information on the education, qualifications and professional career of Mr. Adam Purwin and Mr. Mikołaj Franzkowiak is presented in the appendix to this current report.
