CHANGES IN THE COMPOSITION OF THE SUPERVISORY BOARD

The Management Board of the company under the name Polenergia S.A. (the “Issuer” or “Company”) hereby announces that on March 12, 2025, the Company received a statement from BIF IV Europe Holdings Limited, a shareholder of the Company, on the exercise of a personal right and on the following changes in the Supervisory Board of the Company in the exercise of this right:

• dismissal of Mr. Thomas Joseph O’Brien from the Supervisory Board of the Company with immediate effect;
• appointment of Ms. Inés Bargueño as a Member of the Supervisory Board of the Company with immediate effect.

Ms. Inés Bargueño submitted a statement stating that: (i) outside the Issuer, she holds the position of Managing Director and Chief Operating Officer at Brookfield Renewable Power & Transition Group; (ii) she does not conduct any activity competitive to the Company; (iii) she is not a partner in a civil or partnership company competing with the Company, (iv) she is not a member of a governing body of a capital company competing with the Issuer or a governing body of any other legal person competing with the Issuer; and (v) she is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.
