CHANGES IN THE COMPOSITION OF THE SUPERVISORY BOARD

The Management Board of Polenergia S.A. (the “Company”) announces that on 25 February 2021 the transactions of the acquisition of shares in the Company subscribed for in the tender offer to subscribe for a sale of 100% of the Company’s shares announced on 6 November 2020, as amended by communications announced on 8 December 2020, 17 December 2020, 20 January 2021 and 5 February 2021 by BIF IV Europe Holdings Limited with its registered office in London, the United Kingdom (the “Investor”) and Mansa Investments sp. z o.o. with its registered office in Warsaw (“Mansa”) acting in concert (the “Tender Offer”) were settled. Thus, the Company’s shares subscribed for in the Tender Offer were transferred to the Investor and credited to the Investor’s securities account.

In view of the above and with reference to current report No. 8/2021 dated 11 February 2021, the Company informs that the declaration made by Mansa pursuant to Article 10.2. (a) of the Articles of Association of the Company on the dismissal of Mr. Grzegorz Stanisławski from the composition of the Supervisory Board of the Company and the appointment of Mrs. Emmanuelle Rouchel to the position of a member of the Supervisory Board of the Company with effect as of the settlement date of the Tender Offer has become effective, and therefore Mr Grzegorz Stanisławski ceased to be a member of the Supervisory Board of the Company and Mrs. Emmanuelle Rouchel was appointed to the Supervisory Board of the Company.
