CHANGE IN THE COMPOSITION OF THE SUPERVISORY BOARD OF POLENERGIA S.A.

Polenergia Spółka Akcyjna with its registered office in Warsaw (“Issuer”) hereby reports that on 18 June 2021 the Ordinary General Shareholders’ Meeting of the Company:

1. appointed Mr. Grzegorz Stanisławski, Mr. Ignacio Paz-Ares Aldanondo and Mr. Thomas O’Brien as members of the Issuer’s Supervisory Board;
2. appointed Ms. Dominika Kulczyk and Mr. Hans Schweickardt for subsequent term in the Issuer’s Supervisory Board.
3. dismissed Ms. Marjolein Helder from the position of a member of the Supervisory Board

The newly appointed members of the Supervisory Board submitted declarations that: (i) they do not perform other work outside of the Company, which would be competitive with respect to the operation of the Company; (ii) they do not participate in a competitive company as partners in a private partnership, a partnership or as members of a body of a capital company and do not participate in another competitive legal person as members of its body and; (iii) they are not entered in the Register of Insolvent Debtors maintained on the basis of the Act on the National Court Register.
