APPOINTMENT OF MEMBERS OF THE SUPERVISORY BOARD OF POLENERGIA S.A.

The Management Board of the company under the name Polenergia S.A. (the “Issuer” or “Company”) hereby informs that on December 18, 2023, it received a declaration from the shareholder – Mansa Investments Sp. z o.o. with its registered office in Warsaw, on the appointment, on the basis of the personal authorization provided for in Article 5.4.2. (a) (i) of the Company’s Articles of Association:

• Mr. Andrzej Filip Wojciechowski and
• Prof. dr hab. Krzysztof Obłój,

as Members of the Issuer’s Supervisory Board, with effect from 1 p.m. on December 18, 2023.

Mr. Andrzej Filip Wojciechowski submitted a declaration stating that: (i) outside the Company, he conducts the following activities: simplified business activity registered in Portugal with the NHR status and is a member of the Management Boards of Kulczyk Holding Sarl, Ukraine Power Bridge Company Limited, DK Private Office AG; (ii) this activity is not competitive with the Company; (iii) he is not a partner in a civil partnership or partnership competing with the Company and is not a member of the governing body of a capital company competing with the Company or the governing body of any other legal person competing with the Company; and (iv) he is not entered in the Register of Insolvent Debtors.

Prof. dr hab. Krzysztof Obłój submitted a declaration stating that: (i) outside the Company, he conducts the following activities: business activity under the name Strategos Krzysztof Obłój, he serves as the chairman of the Supervisory Board of Invena S.A., he is an employee of the Koźmiński University and the University of Warsaw; (ii) this activity is not competitive with the Company; (iii) he is not a partner in a civil partnership or partnership competing with the Company and is not a member of the governing body of a capital company competing with the Company or the governing body of any other legal person competing with the Company; and (iv) he is not entered in the Register of Insolvent Debtors.
