The Management Board of Polenergia S.A. (the “Issuer”) hereby informs that on November 22, 2021, Ms. Dominika Kulczyk (Chairman of the Supervisory Board of the Issuer), Mr. Hans E. Schweickardt (Vice-Chairman of the Supervisory Board of the Issuer), Ms. Emmanuelle Rouchel, Mr. Ignacio Paz-Ares Aldanondo, Mr. Thomas O’Brien, and Mr, Grzegorz Stanisławski (members of the Supervisory Board of the Issuer) resigned from their positions as members on the Supervisory Board of the Issuer, effective as of the date of resignation.
On November 22, 2021, the following persons were appointed to the Supervisory Board of the Issuer:
The reason for the resignation of the indicated members of the Supervisory Board of the Issuer and their appointment on the same day to the Supervisory Board pursuant to the statements of Mansa and BIF, respectively, was intent to appoint these persons to the Supervisory Board on the basis of the personal entitlements of Mansa and BIF in accordance with the Company’s Articles of Association in the wording assigned to it by the resolutions of the Ordinary General Meeting of Company Shareholders of June 18, 2021. The amendment to the Issuer’s Articles of Association was registered by the competent registry court on September 22, 2021, as announced by the Issuer in report no. 37/2021 of September 22, 2021.
All members of the Supervisory Board appointed on November 22, 2021, have submitted declarations stating that: (i) they are not engaged in any activities outside the Issuer’s enterprise which by its nature would be competitive to the business operations carried out in the Issuer’s enterprise; (ii) they are not engaged in a competitive company as partners of a private partnership or any other type of partnership, or as members of a governing body of an incorporated company, and they are not engaged in any other competitive legal entity as members of its body; and (iii) they are not entered into the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register of August 20, 1997.
