APPOINTMENT OF MEMBER OF THE SUPERVISORY BOARD OF POLENERGIA S.A.

The Management Board of the company operating under the business name of Polenergia S.A. (“Company” or “Issuer”) hereby reports that on 10 October 2022, it received a declaration by shareholder – Mansa Investments Sp. z o.o. with its registered office in Warsaw concerning appointment, based on personal authorisation foreseen in Art. 5(4)(2)(A)(i) of the Company’s Statute, of Mr. Jacek Santorski to the position of a Member of the Supervisory Board of the Issuer, with effect as of 10 October 20222 at 12.01.

The appointed member of the Supervisory Board submitted a declaration stating that: (i) he is not engaged in competitive activity with respect to the Company; (ii) he is not a shareholder in a private partnership or a partnership competitive with respect to the Company and is not a member of a governing body of a capital company competitive with respect to the Company or a governing body of any other legal person competitive with respect to the Company; and (iii) he is not entered in the Register of Insolvent Debtors.
