APPOINTMENT OF A MEMBER OF THE SUPERVISORY BOARD OF POLENERGIA S.A.

The Management Board of the company under the name Polenergia S.A. (the “Issuer”) hereby informs that on February 29, 2024, it received a declaration from the shareholder – Mansa Investments spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw, on appointment, based on the personal authorization provided for in Article 5.4.2. (a) (i) of the Company’s Articles of Association, Mr. Jacek Głowacki as a Member of the Company’s Supervisory Board, with effect from February 29, 2024.

Mr. Jacek Głowacki submitted a declaration stating that: (i) outside the Company, he conducts the following activities: – employment contract with Polenergia Elektrociepłownia Nowa Sarzyna Sp. z o.o. (terminates on February 29, 2024) and – serving as Vice-President of the “Podkarpacka Dolina Wodorowa” Association; (ii) he does not conduct any activity competitive to the Company; (iii) he is not a partner in a civil partnership or partnership competing with the Company and he is not a member of the governing body of a capital company competing with the Company or the governing body of any other legal person competing with the Company; and (iv) he is not entered in the Register of Insolvent Debtors.
