The Management Board of Polenergia S.A. (‘Issuer’), acting pursuant to § 5 item 4 and 5 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by laws of a non-member state (Journal of Laws 2018, item 757), hereby announces that on 23rd January 2019 it received a resignation of Mr. Jacek Głowacki from his position of President of the Management Board of the Issuer.
At the same time, the Supervisory Board of the Issuer, at its meeting on 23rd January 2019, appointed Mr. Michał Michalski to the position of President of the Issuer’s Management Board, and Ms. Iwona Sierżęga as Member of the Issuer’s Management Board.
Mr. Michał Michalski and Ms. Iwona Sierżęga made a statement declaring that: (i) they do not conduct any activity outside the Issuer’s company that would be competitive towards the activity of the Issuer’s company, (ii) they are not engaged in any competitive company as partners in a civil law partnership or partnership, or as members of a body of a corporation, or as members of a body of any competitive legal person, as well as (iii) they are not recorded in the Register of Insolvent Debtors, run pursuant to the Act on the National Court Register.
Information on education, qualifications and the course of professional work of Mr. Michał Michalski and Ms. Iwona Sierżęga are presented in the appendix hereto.
