ACQUISITION OF THE COMPANY SHARES

Polish Energy Partners Spółka Akcyjna (‘Company’) hereby announces that on 9th October 2012 the Company received a notification, in accordance with which Mansa Investments Sp. z o.o. (‘Mansa’) – under the invitation to subscribe for the Company shares – acquired as an acquiring party 12 311 655 shares of the Company, representing 57.76% of the total number of the Company shares and 57.76% of the total number of votes at the Company General Assembly. The Company also received: 1) a notification from Kulczyk Investments S.A. with its seat in Luxembourg (‘KI’) in accordance with which, as a result of acquisition of the Company shares by Mansa in the above-mentioned manner, KI is entitled to exercise the right to vote from 12 311 655 shares of the Company representing 57.76% of the total number of the Company shares and 57.76% of the total number of votes at the Company General Assembly; 2) a notification from Polenergia Holding S.a.r.l. with its seat in Luxembourg (‘Polenergia’) in accordance with which, as a result of acquisition of the Company shares by Mansa in the above-mentioned manner, Polenergia is entitled to exercise the right to vote from 12 311 655 shares of the Company representing 57.76% of the total number of the Company shares and 57.76% of the total number of votes at the Company General Assembly. According to the notification submitted to the Company, prior to announcement of the invitation to subscribe for the Company shares neither Mansa, KI, Polenergia nor subsidiaries of KI or Polenergia held the shares of the Company. Moreover, according to the notification, Mansa subsidiaries do not hold the shares of the Company and no subsidiaries of KI or Polenergia, Mansa excluded, hold the shares of the Company. The Company was also notified that KI, Polenergia and Mansa have no intention to further increase its share in the total number of votes in the next 12 months, but still do not exclude such possibility in certain circumstances, especially in case of favourable development of the Company share prices on the Warsaw Stock Exchange. The company was also notified by Mansa of Mansa having gained dominance.
