APPEAL AGAINST RESOLUTION OF EXTRAORDINARY GENERAL MEETING REGARDING AMENDMENT OF ARTICLES OF ASSOCIATION – FURTHER INFORMATION

Appeal against resolution of Extraordinary General Meeting regarding amendment of Articles of Association – further information.

The Management Board of Polenergia S.A. (‘Issuer’), acting pursuant to Art. 56 (1)(2) of the Act of 29 July 2005 on public offering, conditions governing the introduction of financial instruments to organized trading, and public companies (Journal of Laws of 2016, item 1639, as amended), according to § 19 (1)(10) of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by laws of a non-member state (Journal of Laws of 2018, item 757), with reference to the Issuer’s Current Report No. 31/2018 of 14th August 2018, hereby announces that the demand of the claim described in the above-mentioned report is limited to an annulment of part of the resolution No. 2 of the Extraordinary General Meeting of the Issuer of 13th July 2018, i.e. only in terms of an amendment of art. 10.2 (a) of the Articles of Association, made pursuant to item 4) of the aforementioned resolution. In the Issuer’s opinion, the above-described claim is groundless and therefore, after receiving it from the court, the Issuer will submit a response in which it will demand a dismissal of the claim.
