RECEIVING INFORMATION ON APPEAL AGAINST RESOLUTION OF EXTRAORDINARY GENERAL MEETING REGARDING AMENDMENT OF ARTICLES OF ASSOCIATION

The Management Board of Polenergia S.A. (‘Issuer’), acting pursuant to Art. 56 (1) of the Act of 29 July 2005 on public offering, conditions governing the introduction of financial instruments to organized trading, and public companies (Journal of Laws of 2016, item 1639, as amended), according to § 19 (1)(10) of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by laws of a non-member state (Journal of Laws of 2018, item 757), hereby announces that today it became aware of an action brought on 13th August 2018 before the District Court in Warsaw by one of the shareholders for demanding an annulment of the resolution No. 2 of the Extraordinary General Meeting of the Issuer of 13th July 2018 amending the Issuer’s Articles of Association. The information about the above-mentioned action was taken by the Issuer only on the basis of data available in the Court’s customer service, and, at the moment, it does not know the content of the claim, it has not yet received a copy or any provisions issued in the case. At the same time the Issuer announces that after obtaining the claim it will analyze it and decide on the further steps needed.
