CONCLUSION OF AN AGREEMENT AMENDING THE PRELIMINARY SHARE SALE AGREEMENT IN A SUBSIDIARY

In reference to current report No. 52/2018 of 20 December 2018, No. 10/2019 of 5 March 2019 and No. 29/2019 of 30 September 2019, the Management Board of Polenergia S.A. (“Issuer”) hereby declares that on 18 October 2019, the Issuer concluded an amending agreement (“Amending Agreement”) to the preliminary conditional sale agreement (“Preliminary Agreement”) of 50% of shares in the Issuer’s subsidiary – Polenergia Bałtyk I S.A. of 20 December 2018 concluded with Wind Power AS.

By means of the Amending Agreement, the Parties introduced – in place of the condition precedent in the form of procurement of a valid registration by the District Court of the resolution on transformation of Polenergia Bałtyk I S.A. into a limited liability company, new terms:

1. unconditional, final and effective transfer by the Issuer of all shares of Polenergia Bałtyk I S.A. to MFW Bałtyk I Sp. z o.o. in the form of a contribution in exchange for shares in the share capital in MFW Bałtyk I Sp. z o.o.

2. final judgement of a competent Registry Court on entry in the register of entrepreneurs of the National Court Register of increase in the share capital of MFW Bałtyk I Sp. z o.o.
