The Management Board of Polenergia S.A. (‘Issuer’), in reference to the Issuer’s Current Reports No. 14/2015 and 24/2019, acting pursuant to Art. 17 (1) of the Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse and repealing Directive 2003/6/EC of the European Parliament and the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (OJ L 173, 2014, p. 1, as amended) (‘MAR’), hereby announces that on 20th August 2019 the Issuer’s subsidiary – Amon Sp. z o.o. seated in Łebcz (‘Amon’) – brought to the District Court in Gdańsk, IX Commercial Division, a lawsuit against a subsidiary of Tauron Polska Energia S.A. – Polska Energia-Pierwsza Kompania Handlowa Sp. z o.o. seated in Warsaw (‘PKH’) – in connection with the break of the long-term energy and property rights sales agreements concluded by PKH with Amon. Amon demands receiving a payment of PLN 29,009,189.38 for its damages, including the interests and costs of the proceedings. Lodging a new lawsuit by Amon is due to the fact that with a partial and preliminary judgement of 25th July 2019 the District Court in Gdańsk, IX Commercial Division, upheld Amon’s claim in the part concerning determination of the voidance of declarations on termination by PKH of the energy and property rights sales agreements.
Moreover, the Management Board of the Issuer hereby announces that the Issuer’s subsidiary – Talia sp. z o.o. seated in Łebcz (‘Talia’) – brought to the District Court in Gdańsk, IX Commercial Division, the third change to the action against PKH in connection with the break of the long-term energy and property rights sales agreements concluded by PKH with Talia. Upon its letter, Talia demands receiving a payment of PLN 19,308,887.95 for its damages, including the interests.
The Issuer will announce any further decisions regarding the above-mentioned actions in the form of subsequent current reports.
