NOTICE OF TAKE-UP OF SHARES

Polenergia SA (‘Company’) hereby announces that on 18th September 2014 the Company received notifications concerning:

1) a take-up by Capedia Holdings Limited with its seat in Nicosia, Cyprus (‘Capedia’), of 7 266 122 shares of the Company, within the issue of series Z shares, entitling to 7 266 122 votes at the Company’s General Assembly, representing 15.99% of the total number of the Company’s shares and 15.99% of the total number of votes at the Company’s General Assembly,

2) an indirect take-up by China – Central and Eastern Europe Investment Co-operation Fund SCS SICAV-SIF (‘Fund’) as the dominant company towards Capedia, following the take-up of the Company’s shares by Capedia in the above-mentioned manner, of  7 266 122 shares of the Company entitling to 7 266 122 votes at the Company’s General Assembly, representing 15.99% of the total number of the Company’s shares and 15.99% of the total number of votes at the Company’s General Assembly.

According to the notification submitted to the Company, prior to the above-mentioned event neither Capedia nor Fundusz held the Company’s shares.

The Company was also notified that neither Capedia nor Fundusz has intention to further increase its share in the total number of the Company’s shares.
