ACTION TO DECLARE THE INEFFECTIVENESS OF THE NOTICES OF TERMINATION OF AGREEMENTS – JUDGEMENT BY THE REGIONAL COURT IN GDAŃSK

In reference to the Issuer’s current report No. 14/2015 of 23 March 2015, the management board of Polenergia S.A. (“Issuer”) reports that the Regional Court in Gdańsk, 9th Business Division, issued an interlocutory and preliminary judgement accepting the action by the Issuer’s subsidiary, Amon Sp. z o.o. with the registered office in Łebcz („Amon”) in the part concerning the declaration of ineffectiveness of the notices of termination, by Polska Energia – Polska Kompania Handlowa spółka z ograniczoną odpowiedzialnością („PKH”), of the following agreements:

The Agreement for the Sale of Proprietary Rights Arising form the Certificates of Origin Certifying the Generation of Electrical Energy in a Renewable Energy Source – Wind Farm in Łukaszów, dated 23 December 2009 (“Proprietary Rights Sale Agreement”) and the Agreement for the Sale of Electrical Energy Generated in a Renewable Energy Source – Wind Farm in Łukaszów, dated 23 December 2009, entered into with Amon.

The Court also found that the claims for damages sought by Amon against PKH due to PKH’s non-performance of the Proprietary Rights Sale Agreement to be legitimate in principle.

The judgement is not yet final and non-appealable.
