CONCLUSION OF MATERIAL AGREEMENTS

The Management Board of Polenergia S.A. in Warsaw (‘Issuer’) hereby notifies that on 8th May 2019 the Issuer’s subsidiaries, Polenergia Farma Wiatrowa 1 Sp z o.o. (‘FW 1’), Polenergia Farma Wiatrowa 4 Sp z o.o. (‘FW 4’) and Polenergia Farma Wiatrowa 6 Sp z o.o. (‘FW 6’), concluded annexes to the Service Agreements with Siemens Gamesa Renewable Energy Sp. z o.o. The Agreements relate to maintenance services – the scheduled, preventive and corrective service of wind farms belonging to Polenergia Group, namely Gawłowice, Rajgród and Skurpie projects. The Agreements include the service of Siemens turbines with a capacity of 2.3 MW each – 21 turbines for FW 1, 19 turbines for FW 4, and 11 turbines for FW 6 respectively.

The annexes extend the validity of the Service Agreements until 31st January 2045. The estimated value of agreements (with the expected indexation) is approx. PLN 124.5 million for FW 1, approx. PLN 112.6 million for FW 4, and PLN 65.2 million for FW 6.

The Issuer considers the annexes to the Service Agreements as material due to the fact that the wind farm activity is one of the Issuer’s main areas of operation, and the annexes to the Agreements extend the wind turbine service period to a total of 30 years.
