PAYMENT OF STRIKE PRICE OF CALL OPTION BY MONDI ŚWIECIE S.A.

Polish Energy Partners S.A. (‘PEP’), in relation to Current Report No. 21/2012, hereby notifies that on 2nd May 2012 Mondi Świecie S.A. (‘Mondi’) paid to PEP the strike price of the so-called Voluntary Call Option in the amount of PLN 172 441 219 (‘Price’). As communicated in a statement of the same day, Mondi notified PEP that it does not agree with the calculation of the Price submitted to Mondi on 30th April 2012. According to Mondi, the correct amount of the strike price of the so-called Voluntary Call Option is PLN 118 627 340.90. Consequently, Mondi requests PEP to reimburse for the difference between the price actually paid and the amount calculated by Mondi, i.e. PLN 53 813 878.10, as the so-called improper benefit. Moreover, in the above-mentioned letter Mondi declared its willingness to pay the so-called additional debt financing brought by Grupa PEP to SM in connection with financing Tytan i Modernizacje project for the amount of PLN 17 029 000.91. SM liabilities for the debts incurred for implementation of Saturn project and its continuation (e.g. Tytan project) were, as of 31st March 2012, PLN 239 204 000. In the short term PEP will notify, in the form of a current report, about the impact of the sale of all rights and obligations of the limited partner Management Spółka z ograniczoną odpowiedzialnością i Wspólnicy, Spółka Komandytowa, and shares in Saturn Management Spółka z ograniczoną odpowiedzialnością in exercising of the so-called Voluntary Call Option, on PEP financial result.
