The Management Board of Polenergia S.A. (‘Issuer’), acting pursuant to § 5 item 4 and 5 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by laws of a non-member state (Journal of Laws 2018, item 757), hereby announces that on 8th January 2019 the Extraordinary General Meeting dismissed Mr. Kajetan D’Obyrn from the position of a member of the Supervisory Board, and appointed two new members of the Supervisory Board, i.e. Ms. Marjolein Helder and Mr. Sebastian Kulczyk.
The newly appointed members of the Supervisory Board made a statement declaring that: (i) they do not conduct any activity outside the Company that would be competitive towards the activity of the Company, (ii) they are not engaged in any competitive company as partners in a civil law partnership or partnership, or as members of a body of a corporation, or as members of a body of any competitive legal person, as well as (iii) they are not recorded in the Register of Insolvent Debtors, run pursuant to the Act on the National Court Register.
Information on education, qualifications and the course of professional work of the newly appointed members of the Supervisory Board are presented in the appendix hereto.
