APPOINTMENT OF THE MEMBER OF THE MANAGEMENT BOARD

The Management Board of Polenergia SA (“the Company”) hereby informs that on February 20, 2018 the Supervisory Board of the Company appointed as Vice-president of the Management Board Mr. Jacek Głowacki for another three-year term.

The resolution came into force on the day of its adoption.

The resume of Mr. Głowacki:

Mr. Jacek Głowacki has been a member of the Management Board of the Company since 2014.

In 2011 he was appointed as the Chief Operating Officer, Member of the Management Board of Polenergia Holding S.àr.l. and Polenergia International S.àr.l.

Formerly, he was the President of the Management Board and Chief Executive Officer of the first in Poland gas heat and power plant, Elektrociepłownia Nowa Sarzyna. In 2001 he was appointed as the Chief Executive Officer of Business Development Prisma Energy, a company taken over by ENS. Then, after the acquisition of ENS by Ashmore Energy in 2006, he became the Vice President of the corporation for Central and Eastern Europe.

One of the key experts supervising the liberalization of the Polish energy industry.

A graduate of AGH University of Science and Technology in Cracow, an MBA graduate of the University of Chicago.

According to the statement made by Mr. Jacek Głowacki he does not conduct any activity competitive to the Company, as well as does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a competitive capital company or a member of the body of any competitive legal entity, and is not registered in the Register Insolvent Debtors maintained on the basis of the Act of August 20, 1997 on the National Court Register.
