NOTIFICATION OF EXCEEDING 5% OF TOTAL NUMBER OF VOTES

The Management Board of Polenergia S.A. seated in Warsaw (‘Company’), hereby notifies that on 12th April 2019 the Company received from NN Investment Partners Towarzystwo Funduszy Inwestycyjnych S.A. (‘NN TFI S.A.’) a notification pursuant to Art. 69 (1) item 1) in relation to Art. 87 (1) item 2) letter a) of the Act of 29th July 2005 on public offering, conditions governing the introduction of financial instruments to organised trading, and public companies (i.e. Journal of Laws of 2019, item 623).
According to the notification, the total share of votes of investment funds managed by NN TFI S.A. in the total number of votes of the Company changed.

Prior to the change, investment funds managed by NN TFI S.A. held a total of 2,252,341 shares of the Company, constituting 4.96% of the share capital of the Company and authorising to exercise 2,252,341 votes of the Company, which constituted 4.96% of the total number of votes of the Company.

Currently, investment funds managed by NN TFI S.A. hold a total of 2,278,095 shares of the Company, constituting 5.02% of the share capital of the Company and authorising to exercise 2,278,095 votes of the Company, which constitutes 5.02% of the total number of votes of the Company.

The threshold of 5% of the total number of votes of the Company was exceeded due to the acquisition of the Company’s shares on 9th April 2019 by NN Parasol Fundusz Inwestycyjny Otwarty.
