CHANGES IN THE COMPOSITION OF THE MANAGEMENT BOARD

Polenergia Spółka Akcyjna with its registered office in Warsaw (‘Company’) hereby announces that on April 27, 2016 Mr. Zbigniew Prokopowicz, Mrs. Anna Kwarcińska and Mr. Michał Kozłowski resigned from the Management Board of the Company.

Additionally, the Company announces that on April 28, 2016 the Supervisory Board of the Company appointed Mr. Bartłomiej Dujczyński a member of the Management Board of the Company. At the same time, the Supervisory Board entrusted managing the company to Mr. Jacek Głowacki, I Vice-President of the Management Board hitherto.

Bartłomiej Dujczyński is associated with Polenergia Group since 2011. In 2012-2013, before the merger with Polish Energy Partners Group, he was a member of the Management Board responsible for the Finance Department of Polenergia SA (CFO). Since 2013 he manages a Corporate Finance and Investor Relations Departments of the Company.

He gained his experience in PricewaterhouseCoopers, where he was a member of the Corporate Finance team in the energy sector. He also worked in London office of Rothschild & Sons and Oaktree Capital Management.

He graduated with LLB Honours in English & German law from King’s College London. He is a Certified Accountant of England & Wales (ACA) and has passed the Association of Tax Technicians (ATT) examinations as well as the SFA Corporate Finance Certificate.

Bartłomiej Dujczyński does not participate in a competitive company as a partner in a civil partnership or as a member of the body of a company or other competitive legal person as a member of its authority and was not entered in the Register of Insolvent Debtors maintained pursuant to the KRS Act.
