APPEAL AGAINST THE RESOLUTION OF THE EXTRAORDINARY GENERAL SHAREHOLDERS’ MEETING WITH RESPECT TO AMENDMENTS IN THE ARTICLES OF ASSOCIATION: JUDGEMENT OF THE DISTRICT COURT IN WARSAW

The Management Board of Polenergia S.A. (“Issuer”), in reference to the Issuer’s interim report No. 32/2018 of 20 August 2018 and No. 31/2018 of 14 August 2018, declares that pursuant to the judgement of 8 March 2019, the District Court in Warsaw, 20th Economic Division acknowledged the petition on deeming a part of resolution No. 2 of the Extraordinary General Shareholders’ Meeting of the Issuer of 13 July 2018 invalid, i.e. within the scope of amendments in Art. 10.2 point (a) of the articles of association, made pursuant to point 4) of the above-mentioned resolution.

The judgement is nisi. Based on oral justification, the Issuer is considering an appeal against the judgement in question to the court of the second instance.

Legal basis: Art. 56.1.2 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies (i.e. Polish Journal of Laws [Dz.U.] of 2016, item 1639, in relation to § 19.1.10) of the Regulation of the Minister of Finance of 29 March 2018 on current and periodical information provided by issuers of securities and terms for deeming information required under legal provisions of a country which is not a member state equivalent (Polish Journal of Laws [Dz.U.] of 2018, item 757).
