ACQUISITION OF THE COMPANY SHARES

Polish Energy Partners Spółka Akcyjna (‘Company’) hereby informs that on 4th January 2012 the Company received a notification from Quercus Towarzystwo Funduszy Inwestycyjnych S.A., in accordance with which Quercus Parasolowy SFIO, Quercus Absolute Return FIZ and Quercus Absolutnego Zwrotu FIZ (‘Quercus Funds’) hold a total of 1 070 842 shares of the Company, representing 5.02% of the Company share capital, and 1 070 842 votes at the Company General Assembly, i.e. 5.02% of the total number of votes. Before the said transaction of 3rd January 2012, which resulted in Quercus Funds achieving the above-mentioned share in the Company, Quercus Funds held a total of 1 020 842 shares of the Company, representing 4.79% of the Company share capital, and 1 020 842 votes at the Company General Assembly, i.e. 4.79% of the total number of votes.
