APPOINTMENT OF MEMBER OF SUPERVISORY BOARD EFFECTIVE AS OF THE DATE OF CALL SETTLEMENT

The Management Board of Polenergia S.A. (“Company”) hereby reports that on 11 February 2021, it received a notification from Mansa Investments Sp. z o.o. with its registered office in Warsaw, Poland (“Mansa”) filed pursuant to Art. 10(2)(a) of the Company’s Articles of Association on (i) dismissal of Mr. Grzegorz Piotr Stanisławski from the Supervisory Board of the Company and (ii) appointment of Ms. Emmanuelle Rouchel for the position of a member of the Company’s Supervisory Board. Both activities were carried out with effect as of the date of settlement of the Call (“Call”) announced by BIF IV Europe Holdings Limited (“Investor”) and Mansa, as a result of which the Company’s shares subject to subscription for share sale in the Call will be transferred to the Investor and credited on its securities’ account.

Ms. Emmanuelle Rouchel is a graduate of Ecole Supérieure de Commerce de Paris (ESCP), where she pursued business studies and a scholarship holder under the Harlan Fiske Stone programme at Université Paris II Panthéon-Assas in Paris, as well as a Fulbright programme fellow at the Columbia University in New York.

She has over 20 years of experience in legal consulting for international institutions. Ms. Rouchel embarked on her professional career in New York as an attorney in Sullivan & Cromwell, where she focused on trans-border mergers, take-overs and capital market transactions. Subsequently Ms. Rouchel was engaged in legal counselling for international entities from the oil and gas sector. As of 2015, she has been working for Brookfield Renewable Power, holding the position of senior deputy president and legal director.

Ms. Emmanuelle Rouchel does not conduct business competitive with respect to the Company, does not participate in a competitive company as a partner in a private partnership, a partnership or a capital company and does not participate in any competitive legal person as a member of its governing body and is not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register of 20 August 1997 (i.e. Polish Journal of Laws [Dz.U.] U.] of 2021, No. item 112).
