INFORMATION ON THE ALLOTMENT OF SERIES A BONDS

With reference to the current report No. 50/2024 of 4 October 2024 in which Polenergia S.A. (the “Company” or the “Issuer“), announced that it resolved to issue no more than 750,000 series A bearer bonds with the nominal value of PLN 1,000 each and the an aggregate nominal value of up to PLN 750,000,000 (the “Series A Bonds“), pursuant to Article 33(1) of the Act of 15 January 2015 on bonds (the “Bonds Act“), i.e. in the manner of a public offering of securities referred to in in Article 2(d) of Regulation (EU) 2017/1129 of the European Parliament and of the Council of June 14, 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market and repealing Directive 2003/71/EC (the “Prospectus Regulation“) (the “Offering“), issued under the bonds issuance program established on 11 July 2024, the Management Board of the Company, herby announces that on 10 October 2024 it resolved to allot 750,000 Series A Bonds with a nominal value of PLN 1,000 each and an aggregated nominal value of PLN 750,000,000. The Series A Bonds were allotted to a total number of 57 investors (number includes the sub-funds), provided that they are duly paid in full.

The rights attached to the Series A Bonds will arise upon the registration of the Series A bonds in the register of persons entitled under the Bonds kept by the Issuing Agent pursuant to the Article 7a(4)(4) of the Act of 29 July 2005 on Trading in Financial Instruments (the “Act on Trading in Financial Instruments“), and thereafter will be registered in the securities depository kept by the National Depositary of Securities (Krajowy Depozyt Papierów Wartościowych S.A.). The issuance of the Series A Bonds is scheduled to take place on 16 October 2024.
