The Management Board of the company under the name Polenergia S.A. (the “Issuer”), with reference to current report No. 14/2023 of April 20, 2023 and current report No. 39/2023 of September 29, 2023 (collectively, the “Previous Reports”), informs that there were chances in the assumed date (“Final Date”) of signing the agreements between the project companies of MFW Bałtyk II sp. z o.o., MFW Bałtyk III sp. z o.o. (collectively, the “Companies”) and SIF Netherlands B.V. (“Supplier”). These agreements concern the production of monopile foundations (“Final Agreements”) for the needs of offshore wind farm construction projects developed by the Companies (as part of the joint venture of the Issuer and Equinor Wind Power AS, each of which holds 50% of shares in the Companies).
The change in the Final Date is related to the continuation of negotiations of the Final Agreements and was agreed in the form of annexes (collectively: “Annexes”) signed by the Companies and the Supplier on January 12, 2024 to the agreements referred to in the Previous Reports, i.e. agreements on the selection of the preferred suppliers and reservation of production capacity for the production of monopile foundations. The Annexes move the Final Date to February 15, 2024. The Final Date change does not affect the Project implementation schedule.
The Issuer reserves that the Final Date may potentially be subject to further changes, and the Issuer will not update the information presented in this report, unless it identifies new confidential information within the meaning of Regulation (EU) No. 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (OJ EU L. of 2014, No. 173, p. 1, as amended, “MAR Regulation”).
